01. Legal Declaration

MediaVista operates as a multi-media, advertising, planning and business execution portal. The following Terms and Conditions govern the utilization of our platforms and campaign execution services.

Important Notice: MediaVista is not liable for any inaccurate or misleading information / advertisement published on its channels. It is the sole responsibility of the end-user to research, verify, and accept bonafide content. MediaVista is not responsible for the consequences of any actions taken based on the information provided on our website.

Buying, selling, and booking advertising campaigns through MediaVista is available only to corporate entities and individuals who confirm they meet all valid and legal requirements to enter into a binding contract enforceable under Indian law.

03. Utmost Good Faith

Our business operations operate under standard principles of utmost good faith:

  • All advertisements are accepted in good faith. MediaVista accepts no responsibility whatsoever regarding the bonafides or credentials of the Advertisers, nor can any interviews be granted or correspondence entered into regarding any advertisement published.
  • All information of whatsoever nature received from the user or advertiser is taken in good faith, without suspecting the bonafides of the advertiser.

04. Indemnify & Limitation of Liability

These provisions govern legal liability thresholds and indemnifications:

  • Indemnification: The advertiser indemnifies MediaVista and its holding companies for any action, judgment, loss, or claim by any third party resulting from any advertisement or creative campaign instructed by the advertiser or its agency.
  • Limitation of Liability: Under no circumstances will MediaVista be liable for any financial or operational loss to the advertiser for any error, delay, omission, or technical failure on the part of any publication channel or media partner.

05. Modifications & Timelines

MediaVista reserves the sole right to manage layouts and modify terms as follows:

  • Modifications to Terms: MediaVista in its sole discretion reserves the right to modify these Terms and Conditions at any time without prior notice, and to edit, modify, and alter the creative or contextual format of the advertisement.
  • Processing Period: Online advertisements placed with MediaVista shall ordinarily be processed and reflected within 48 hours. The user agrees to this stipulated 48-hour processing window.
  • Multi-Platform Allocation: In cases where a user selects multiple media platforms (such as a mix of TV, Print, Radio, OOH, Digital), MediaVista reserves the right to reschedule campaigns subject to space availability, inventory slots, and partner timelines.
  • Rescheduling Rights: MediaVista reserves the unqualified right to decline, change, or reschedule any advertisement at any time, notwithstanding prior acceptance or payment receipt.

06. User Conduct & Platform Limitations

MediaVista operates as an advertising facilitator under standard venue bounds:

  • Lawful Conduct: The service may be used only for lawful purposes. Transmission, distribution, or storage of material, or conduct violating local, state, Central, or foreign laws is strictly prohibited. This includes unauthorized use of patent, copyright, trademark, or intellectual property rights.
  • No Transactional Mediation: MediaVista acts strictly as a platform venue. We do not screen, censor, or control listings or users directly. MediaVista does not take responsibility for, nor is directly involved in, transactions (including SMS, payments, or services) occurring between external parties utilizing details on our site.
  • User Comments: MediaVista does not assume responsibility for user comment areas. We will not edit or remove public postings except in our sole discretion to expire old records or moderate system abuse.

07. Offensive & Illegal Content Restrictions

To ensure safety, MediaVista enforces strict content prohibitions:

Strict Content Prohibition

MediaVista prohibits the transmission (through SMS, text, creative copy, or design), distribution, or posting of unwanted, offensive, or illegal content. Sexually explicit, profane, or obscene images/advertisements, including masked or deliberately misspelled words to bypass filters, are illegal and banned.

Furthermore, the listing, sale, or advertisement of the following goods/services is strictly prohibited:

  • Controlled substances, dangerous, counterfeit, or stolen goods.
  • Goods or services which do not actually exist or are misleading.
  • Any item violating third-party copyright, trademark, or rights.
  • Inflammatory, offensive, or derogatory material advocating violence, religious or racial slurs, or hate speech.

08. Refusal of Service & Enforcement

If MediaVista determines a violation of these Terms has occurred, we may pursue any legal remedies, including:

  • Immediate deletion of the offending advertisement or creative copy from our channels.
  • Cancellation of the advertiser's account and the exclusion of individuals violating these Terms.
  • Cooperation with central, state, or local law enforcement agencies, courts, or regulatory bodies without prior notice to the user.
  • Releasing relevant user details to minimize or eliminate legal liability when required.

09. Disclaimers of Warranties

The user agrees that the use of MediaVista services is at the user's sole risk:

  • The service is provided on an "as is" and "as available" basis. MediaVista disclaims all warranties of any kind, whether express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • MediaVista makes no warranty that the service will meet your requirements, or that operations will be uninterrupted, timely, secure, or completely error-free.
  • Taxes and Costs: Users are responsible for all applicable taxes (such as GST) and transactional costs incurred while using our services.

10. User Data & Copyright License

By submitting content or advertising files, the advertiser grants MediaVista permissions to process the data:

  • License: The user grants MediaVista an exclusive, worldwide, royalty-free, irrevocable, sublicensable right to exercise copyright, publication, and distribution rights in existing or future media over the listings, graphics, and materials.
  • User Data Defined: "User Data" means all information submitted by the user to MediaVista, with the exception of sensitive trading data, credit card numbers, or checking account numbers.
  • Ownership: Submitted User Data shall be deemed the operational property of MediaVista. The user agrees to ensure all data submitted is accurate, complete, and not misleading.

11. Exclusive Agreement & Governing Law

  • Notice: All legal or corporate notices to advertisers, users, or MediaVista shall be executed via verified email or registered regular mail.
  • Exclusive Agreement: These Terms constitute the complete and exclusive agreement between the parties, superseding any prior agreements or communications. Any modifications or waivers must be made in writing and executed by both parties.
  • Governing Law: These Terms and the relationship between the User and MediaVista shall be governed by the **laws of the State of Delhi**, without regard to its conflict of law provisions. Both parties submit to the personal and exclusive jurisdiction of the courts located in Delhi.
  • Filing of Claim: Regardless of any statute to the contrary, any legal claim or cause of action arising out of or related to our services must be filed within 7 days after such claim arose, or be forever barred.

12. Refunds, Cancellations & Schemes

Our cancellation and promotional schemes follow these policy parameters:

  • Schemes and Discounts: MediaVista reserves the sole and irrevocable right to offer or not offer specific pricing schemes, promotional packages, or discounts to any user.
  • Cancellation Charges: Campaign cancellations requested by the customer are subject to a 25% processing fee of the total cost. This is only permissible before the campaign is processed and while the status reads "Payment Received, Ad Awaiting Confirmation." No changes can be executed after the status updates to "Awaiting Release."
  • Missed Releases: If an advertisement is missed for release on the scheduled date, MediaVista will, upon request, issue a full refund with no cancellation charges.
  • Refund Method: Refunds are processed in the same payment mode in which payment was received. In the case of cash-on-home collections, refunds will be issued via bank cheque. All refunds are processed within 10 business days.
  • Stop Orders: MediaVista management is not bound by stop orders, postponements, or alteration notices once a campaign has been processed and committed to release.

13. Regulatory Compliance & Media Partners

MediaVista enforces regulatory mandates in line with government frameworks:

Hon'ble Supreme Court Directive: As per regulatory guidelines and the Hon'ble Supreme Court Order dated 07.05.2024 regarding advertising compliance, advertisers and advertising agencies booking print, electronic, or digital media campaigns are solely responsible for obtaining and submitting the required Self-Declaration Certificate before the publication or broadcast of advertisements.

The advertiser shall be solely responsible for ensuring that all advertisements, claims, creatives, scripts, and promotional materials comply with applicable laws, regulatory guidelines, and government directives. MediaVista reserves the right to request necessary declarations, approvals, authorization letters, or supporting documentation before releasing any campaign.

For all ads booked for partner publications, media networks, or external digital platforms, the **respective third-party partner** will bear sole responsibility for releasing the advertisement and its contents. In the event of any deficiency of service by a media partner, the partner bears sole liability. MediaVista shall not be held responsible for partner deficiencies.
